) This License Agreement constitutes the complete and exclusive agreement between Licensor and Licensee with respect to the subject matter hereof and supersedes all prior oral or written understandings, communications or agreements not specifically incorporated herein. This Agreement may not be modified except in a writing duly signed by an authorized representative of Licensor and Licensee. If any provision of this License Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable giving due regard to the intent of the Agreement as a whole, and such decision shall not affect the enforceability of such provision under other circumstances, or of the remaining provisions hereof under all circumstances. b) Section headings in this agreement are for purposes of convenience only and do not affect the meaning or interpretation of any provision of this Agreement. c) This License Agreement shall be governed by the laws of the State of California, without regard to conflicts of law provisions. Any and all unresolved disputes arising under this License Agreement shall be submitted to arbitration in the State of California. The arbitration shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrator''s award shall be binding and may be entered as a judgment in any court of competent jurisdiction. Notwithstanding the foregoing, Licensor shall have the right to seek injunctive relief to enforce compliance with the provisions of this agreement and for such purpose Licensee hereby submits to the personal jurisdiction of the Federal and State Courts of the State of California. This License Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is hereby expressly excluded
